Podcast Lounge Membership Agreement This Membership Agreement (“Agreement”) is made as of [Agreement date] between: The Creator Lounge Address: 136 Church Street, Oakville ON L6J 1M9 Email: info@thecreatorlounge.ca (“Company”) and Member Name: [Member name] Address: ________________________________ Email: ________________________________ Phone: ________________________________ (“Member”) 1. Membership Plan The Member is enrolling in the following membership plan: Creator Membership — $499.00 CAD per month, plus applicable tax The membership includes: • up to 180 minutes of studio time per membership month • access to available podcast studios, subject to booking availability • access to standard lounge and studio amenities offered by the Company • complimentary water for each booked podcast session • access to any membership perks or promotional benefits the Company may offer from time to time • eligibility for the Company’s referral reward program, subject to this Agreement • one building access fob, subject to the terms of this Agreement 2. Term This Agreement begins on [Start date]. Minimum Term: 3 months from the start date After the Minimum Term (if any), this Agreement continues on a month-to-month basis unless cancelled by the Member or terminated by the Company in accordance with this Agreement. 3. Renewal The membership automatically renews each month on the Member’s billing date unless cancelled in accordance with this Agreement. 4. Fees and Payment The Member agrees to pay: • $499.00 CAD per month, plus applicable tax • any separately purchased add-ons, additional studio time, overtime, damage charges, cleaning charges, guest fees, fob replacement fees, or other fees agreed to by the Member Payment will be automatically charged to the Member’s payment method on file on each monthly billing date. If payment fails or is declined, the Company may: • suspend the Member’s booking privileges and studio access immediately • request updated payment information • terminate the membership if any amount remains outstanding for more than 5 days after the payment due date Any unpaid amounts remain due and owing until paid in full. Membership Summary The monthly membership, as agreed at signing, is itemized below: Creator Membership • Creator Membership: $499.00 CAD / month Monthly Total: $499.00 CAD 5. Included Studio Time The membership includes up to 180 minutes of studio time per membership month. Included studio time: • must be booked in advance • is subject to availability • has no cash value • is non-transferable unless expressly approved by the Company in writing • is non-refundable except where required by law Booked time includes the Member’s use of the studio during the reserved session, including setup and wrap-up, unless the Company states otherwise in writing. 6. Rollover Minutes The Member may roll over up to 60 unused minutes into the immediately following membership month, provided that: • the membership remains active and in good standing • the rollover minutes are used in the next month only • unused rollover minutes expire after that following month • any cancelled, suspended, or terminated membership forfeits unused rollover minutes 7. Additional Studio Time If the Member requires more time than the 180 minutes included in the membership, additional studio time may be booked at the Company’s then-current standard rate. Additional time is billed in 30-minute increments. The standard rate for a 30-minute add-on is $100 CAD plus applicable tax. The Company may change additional-time pricing on advance notice. 8. Booking and Access All studio sessions must be booked through the Company’s designated booking process. Bookings are subject to: • availability • operating hours • maintenance requirements • staffing availability • safety requirements • any other reasonable operational limitations The Company may, where reasonably necessary, reassign a studio, adjust access, or reschedule a booking due to maintenance, equipment issues, safety concerns, emergencies, or other operational reasons. 9. Overages and Booking Time Limits The Member must vacate the studio at the end of the booked session time unless additional time has been approved in advance by the Company. Members may not go beyond their booked time without first checking with the studio manager and receiving approval to extend the session. Approval is subject to studio availability, staffing, and whether another booking is scheduled after the Member’s session. Any approved additional time will be billed at the applicable standard add-on rate, plus applicable tax. Time will be deducted from the members account if overage occurs. 10. Cancellation and Rescheduling of Booked Sessions For individual booked sessions: • cancellations made more than 48 hours before the booking start time will have the applicable minutes returned to the Member’s account • cancellations made within 48 hours of the booking may result in the booked minutes being forfeited • no-shows may result in the full booked time being treated as used The Company may waive cancellation penalties in its discretion. 11. Cancellation of Membership by Member If this Agreement has a Minimum Term, the Member commits to the membership for the full Minimum Term. The membership fee continues to be billed monthly during the Minimum Term. Notice may be given during the Minimum Term, but cancellation will not take effect before the Minimum Term ends. After the Minimum Term, or at any time if there is no Minimum Term, the Member may cancel the membership by providing at least 30 days’ written notice to the Company at info@thecreatorlounge.ca. Unless otherwise required by law: • cancellation takes effect at the end of the applicable notice period • no partial-month refunds will be issued • unused minutes expire at the end of the active membership term, except valid rollover minutes already applied under this Agreement 12. Referral Reward Program The Company may offer a referral reward program under which any person may receive 30 bonus studio minutes for referring a new member. Referral rewards are subject to the following terms: • the referred person must be a new member • the reward is issued only after the referred member’s first membership payment has successfully cleared • the reward does not apply to existing members, former members returning, renewals, or reactivations unless the Company agrees otherwise in writing • the reward is non-transferable, non-refundable, and not redeemable for cash • reward minutes must be used within 60 days of issuance or they expire • the Company may withhold, cancel, or reverse a reward if it believes there has been fraud, abuse, self-referral, duplicate accounts, or manipulation 13. Amenities and Perks Membership may include access to amenities and courtesy perks such as water, lounge access, and similar benefits made available by the Company. Members may also be eligible for features and shoutouts on The Creator Lounge’s Instagram. Features are at the Company’s discretion and are not guaranteed. These perks are non-cash benefits and may be changed, substituted, or discontinued by the Company at any time in its reasonable discretion. 14. Guest Policy Each visit by the Member includes 1 complimentary guest, whether the guest joins a booked studio session or uses the lounge. Any additional guest will require a day pass at the standard rate of $100 CAD per guest, plus applicable tax. The Member is fully responsible for the conduct of all guests and for any damage, loss, or policy violations caused by them. All guests must follow the Company’s check-in procedures, studio rules, staff instructions, and safety requirements. The Company may refuse or remove any guest for misconduct, safety concerns, non-payment of guest fees, or operational reasons. 15. Building Access Fob Each active Member will receive 1 building access fob for use during the membership term. The Member agrees that the fob remains the property of the Company and may only be used by the Member. The fob may not be shared, copied, transferred, or loaned to any other person without the Company’s written permission. The Member is responsible for the safekeeping and proper use of the fob and must notify the Company immediately if the fob is lost, stolen, damaged, or compromised. Fob access is permitted only during the Company’s building hours of 9:00 a.m. to 9:00 p.m., Monday to Saturday, unless otherwise approved in writing by the Company. During building hours, the Member may use the fob to access the lounge and common areas to work and socialize. Studio access is by booking only, and possession of a fob does not guarantee studio availability or the right to use a studio without a confirmed booking. A $50 CAD replacement fee, plus applicable tax, will be charged for any lost, stolen, damaged, or unreturned fob. The Company may deactivate a fob at any time for security reasons, non-payment, misuse, or upon cancellation or termination of the membership. 16. Member Conduct The Member agrees to: • use the facilities respectfully and lawfully • follow all posted rules and staff instructions • ensure guests also comply with all rules • avoid any conduct that is unsafe, abusive, discriminatory, disruptive, or damaging The Company may remove any person from the premises for misconduct, safety concerns, non-payment, or policy violations. 17. Equipment and Technical Limitations The Company will use reasonable efforts to provide a functioning plug-and-go recording environment. However, the Member acknowledges that technical problems may occasionally arise, including issues relating to: • microphones • audio capture • video capture • lighting • internet access • file transfer • storage media • software • third-party equipment or platforms Except where prohibited by law, the Company is not responsible for indirect or consequential loss arising from technical failures, interrupted sessions, or failed recordings. 18. Damage, Cleaning, and Extra Charges The Member is responsible for any damage to the premises, furniture, fixtures, equipment, or studio property caused by the Member or the Member’s guests, beyond normal wear and tear. The Company may charge the Member for: • repair or replacement costs • extraordinary cleaning • overtime use • unauthorized use • losses directly caused by policy breaches or misuse 19. Assumption of Risk The Member understands that using a studio and lounge facility involves ordinary risks, including slips, falls, electrical equipment risks, and interactions with other people on the premises. To the fullest extent permitted by law, the Member assumes those ordinary risks associated with attending and using the facilities. 20. Limitation of Liability To the fullest extent permitted by law, the Company’s total liability arising from this Agreement or the Member’s use of the premises will not exceed the total membership fees actually paid by the Member to the Company in the 3 months before the event giving rise to the claim. The Company will not be liable for lost profits, lost business, lost recordings, lost data, reputational harm, or other indirect, incidental, special, or consequential damages, except where such limitation is not permitted by law. 21. Suspension or Termination by Company The Company may suspend or terminate this Agreement immediately if: • payment is overdue • the Member breaches this Agreement • the Member or the Member’s guests damage property • the Member or the Member’s guests engage in unsafe, unlawful, abusive, or disruptive conduct • the Company reasonably believes continued access poses a risk to people, property, equipment, or operations Termination does not waive any outstanding fees or other amounts owed to the Company. 22. No Lease, Tenancy, or Property Rights This Agreement creates a revocable membership licence only. It does not create: • a lease • a tenancy • exclusive possession rights • a partnership • a joint venture • an employment relationship The Member has no property interest in any room, desk, studio, or area of the premises. 23. Privacy The Company may collect, use, and store personal information reasonably necessary to administer memberships, bookings, billing, communications, operations, and safety procedures, in accordance with applicable law and the Company’s privacy practices. 24. Changes to Terms The Company may update its studio rules, booking policies, amenities, operational procedures, and pricing for add-ons or extra services from time to time. If the Company makes a material change to pricing, included minutes, renewal structure, or other core membership terms, it will provide advance notice before the change takes effect. 25. Notices Any notice required under this Agreement must be in writing and sent by email. Notices to the Company must be sent to info@thecreatorlounge.ca. Notices to the Member will be sent to the Member’s email address listed in this Agreement. Either party may provide updated contact information in writing. 26. Governing Law This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario. 27. Entire Agreement This Agreement is the entire agreement between the parties relating to the membership and replaces all prior discussions, understandings, or representations relating to it. 28. Severability If any part of this Agreement is found unenforceable, the remaining parts will continue in full force and effect. The Member acknowledges that Appendix A – Studio Rules and House Rules forms part of this Agreement and agrees to comply with it. 29. Acceptance and Signatures Company Name: The Creator Lounge Title: Authorized Signatory Signature: The Creator Lounge (pre-signed) Date: [Agreement date] Member Name: [Member name] Signature: ________________________________ Date: [Agreement date] Appendix A – Studio Rules and House Rules These Studio Rules and House Rules form part of the Membership Agreement and apply to all Members, guests, co-hosts, contractors, producers, and invitees attending the premises. 1. Booked Use Only Studio use is by confirmed booking only. Access to the premises or possession of a building access fob does not permit use of a studio without a confirmed booking. 2. Arrival and Departure Members may use their building access fob during building hours to work from and socialize in the lounge and common areas. For studio sessions, Members and guests should arrive 15 minutes before the booked start time. All studio use, including setup, recording, and wrap-up, takes place within the booked session time, and the studio must be vacated promptly at the end of each booking unless additional time has been approved in advance by the Company. 3. Setup and Cleanup Members must leave the studio, furniture, equipment, and common areas in clean and orderly condition. All garbage must be disposed of properly, and all personal items must be removed at the end of each session. 4. Equipment Use All equipment must be handled carefully and used only for its intended purpose. Members and guests may not move, disconnect, rewire, alter, or tamper with microphones, cameras, lights, cables, furniture, or other equipment without prior approval from the Company or the studio manager. 5. Food and Drink Complimentary water is permitted. Any other food or beverages may be restricted to designated areas of the premises. No food or beverages may be placed near equipment where damage may occur. 6. Guest Compliance All guests must comply with the Membership Agreement, these House Rules, and any instructions given by staff or the studio manager. The Member is responsible for all guests attending under the Member’s booking. 7. Common Area Conduct Lounge and common areas must be used respectfully and shared with others. Members and guests may not create excessive noise, leave belongings unattended, or interfere with the operations of the Company or the use and enjoyment of the space by others. 8. Prohibited Conduct No unlawful activity, smoking, vaping, weapons, harassment, abusive behaviour, dangerous conduct, or intentional damage is permitted on the premises. 9. Operating Hours Members may access the premises only during building hours (9:00 a.m. to 9:00 p.m., Monday to Saturday) unless the Company provides written approval otherwise. Studio sessions may be booked only during the Company’s studio booking hours. 10. Enforcement The Company may issue warnings, charge applicable fees, suspend access, or terminate membership for violations of these House Rules or the Membership Agreement.
